Terms of Service
These Terms of Service ("Terms") form a binding legal agreement between you and Qodequay Technologies Pvt. Ltd., a company incorporated under the laws of India with its registered office in Pune, Maharashtra ("Qodequay", "we", "us", "our"), governing your access to and use of the Abhigyaan VR application ("Abhigyaan", "the App"), distributed through the Meta Horizon Store and used on Meta Quest devices, together with any related content, services, and updates.
Please read carefully. By installing, accessing, or using Abhigyaan, you confirm that you have read, understood, and agree to be bound by these Terms and by the Abhigyaan Privacy Policy. If you do not agree, do not install or use the App.
1. Who these Terms apply to
These Terms apply to every person who accesses or uses Abhigyaan, in the following roles:
- Schools and institutions ("Institutional Users") that deploy Abhigyaan to their students, teachers, or trainees under a separate commercial agreement with Qodequay or its authorised partner;
- Teachers, administrators, and staff acting on behalf of an Institutional User;
- Students using the App in a supervised institutional setting;
- Individual users — parents, guardians, self-learners, evaluators, and other private users — who install the App from the Meta Horizon Store for personal or trial use.
Where the App is deployed by an Institutional User, the institution accepts these Terms on its own behalf and on behalf of its students, teachers, and authorised personnel, and is responsible for ensuring their compliance.
2. Eligibility and minors
The Meta Quest hardware and the Meta Horizon Store have their own minimum-age requirements, which apply in addition to these Terms. You may use Abhigyaan only if you meet those requirements and only in accordance with Meta's own terms and policies.
2.1 Use by minors
Abhigyaan is designed for use by children in supervised educational settings. If you are below the age of majority in your jurisdiction (eighteen years in India), you may use Abhigyaan only with the consent and supervision of:
- a parent or legal guardian (for individual home use); or
- a school, training centre, or other institution that has accepted these Terms on your behalf (for institutional use).
By permitting a minor to use Abhigyaan, the consenting adult or institution accepts these Terms on the minor's behalf and is responsible for the minor's compliance with them.
3. Licence to use Abhigyaan
Subject to your compliance with these Terms and any applicable commercial agreement, Qodequay grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the App on a Meta Quest device for personal, non-commercial, educational purposes — or, in the case of an Institutional User, for educational use within the institution's deployment scope and in accordance with the Meta Horizon Store distribution rules.
This licence does not grant you ownership of the App or any of its content. All rights not expressly granted to you in these Terms are reserved by Qodequay.
4. Acceptable use
You agree that you will not, and will not permit any third party to:
- copy, modify, translate, decompile, reverse-engineer, disassemble, or attempt to derive the source code of the App, except to the extent expressly permitted by applicable law;
- rent, lease, lend, sell, sublicense, distribute, publicly display, broadcast, or commercially exploit the App or any of its content outside the scope of these Terms or a separate written agreement with Qodequay;
- remove, obscure, or alter any proprietary notices, branding, watermarks, or labels on the App or its content;
- use the App to develop, train, fine-tune, or evaluate any machine-learning model, large language model, or generative-AI system;
- extract, scrape, or harvest content, learning materials, narration audio, 3D models, textures, or any other assets from the App;
- circumvent or attempt to circumvent any security, access-control, licensing, or digital-rights-management mechanism of the App or of the Meta Quest platform;
- upload or transmit any content that is unlawful, harmful, harassing, defamatory, obscene, or that infringes any third-party right;
- use the App in any manner that violates applicable law, the Meta Horizon Store policies, or the rights of any third party.
5. Institutional deployments
Where Abhigyaan is deployed to a school, training centre, or other institution, the commercial terms, scope of deployment, headcount or device limits, support obligations, data-processing arrangements, and service levels are governed by a separate written agreement between Qodequay (or its authorised partner) and the institution. In the event of any conflict between these Terms and that separate agreement on a matter expressly addressed in the separate agreement, the separate agreement prevails. On all other matters, these Terms apply.
6. Intellectual property
The App, including all software, source code, 3D models, animations, textures, narration audio, lesson content, scripts, illustrations, design, user interface, trademarks, logos, and any other materials made available through it (collectively, the "Qodequay Content"), is owned by or licensed to Qodequay and is protected by the copyright, trademark, design, and other intellectual-property laws of India and other jurisdictions. Nothing in these Terms transfers any ownership in the Qodequay Content to you.
"Abhigyaan", the Abhigyaan logo, "Qodequay", and the Qodequay logo are trademarks of Qodequay Technologies Pvt. Ltd. You may not use these marks without our prior written permission. "Meta", "Meta Quest", and "Meta Horizon Store" are trademarks of Meta Platforms, Inc., used here for identification only.
7. Updates, changes, and availability
We may release updates, patches, new versions, or content additions to the App from time to time. Some updates may be required to continue using the App. We may also modify, suspend, or discontinue any feature, module, or part of the App at our discretion, including for security, legal, regulatory, or operational reasons. Where the change materially reduces functionality available to an Institutional User, we will use commercially reasonable efforts to notify the institution in advance.
8. VR safety, health, and supervision
Virtual reality involves physical and visual risks that do not exist with conventional screens. Read and follow all safety guidance from Meta and from these Terms before using Abhigyaan, and ensure adult supervision is in place when children are using the App.
8.1 Age and supervision
Children must be supervised by a responsible adult — a parent, guardian, teacher, or trained instructor — at all times while using Abhigyaan. The supervising adult is responsible for ensuring that the child is the appropriate age for the Meta Quest device, that the headset fits correctly, that the play area is safe, that session duration is reasonable, and that the child takes regular breaks.
8.2 Photosensitive seizures
A small percentage of people may experience seizures or blackouts when exposed to certain light patterns, flashing lights, or images. Anyone with a history of seizures, epilepsy, or photosensitivity should consult a qualified medical professional before using Abhigyaan. Stop using the App immediately and seek medical advice if you or a user experiences any seizure symptoms, including altered vision, eye or muscle twitching, loss of awareness, disorientation, or convulsions.
8.3 Motion sickness and discomfort
Some users may experience motion sickness, nausea, dizziness, eye strain, disorientation, fatigue, or headache while or after using VR. Discontinue use immediately if any of these symptoms occur, and do not resume use until the symptoms have fully resolved. Do not drive, cycle, operate machinery, or undertake any activity requiring balance, coordination, or alertness until you have fully recovered.
8.4 Play area and physical safety
Use Abhigyaan in a clear, well-lit, indoor play area free of obstacles, sharp edges, fragile objects, pets, stairs, glass surfaces, and other people. Configure and respect the Meta Quest Guardian boundary. Remain seated where the experience is designed to be seated, and remain within the play area at all times. Qodequay is not responsible for injury, loss, or damage caused by failure to set up a safe play area or by removal of the Guardian boundary.
8.5 Hygiene in shared deployments
In institutional and classroom deployments where headsets are shared between users, the institution is responsible for hygiene, cleaning, and sanitisation of headsets, controllers, and any face interface between users, in accordance with the device manufacturer's guidance.
8.6 Medical conditions
Consult a qualified medical professional before using Abhigyaan if you are pregnant, elderly, recovering from surgery, suffer from heart, ear, vision, balance, neurological, or psychiatric conditions, or are under the influence of alcohol, medication, or any substance that may impair judgement, balance, or perception.
9. Third-party services and the Meta Horizon Store
Abhigyaan is distributed through, and operates on, the Meta Quest platform. Your use of Meta hardware, the Meta Horizon Store, and any Meta accounts is also governed by Meta's own terms of service and policies. Qodequay is not responsible for the Meta platform, Meta services, Meta accounts, or any acts or omissions of Meta Platforms, Inc.
The App may include or rely on third-party services and components — for example, cloud hosting, content delivery, and analytics — that are subject to their own terms. Where applicable third-party terms are made available, you agree to comply with them.
10. Disclaimers
The App and all content, materials, and services made available through it are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Qodequay disclaims all warranties, express or implied, statutory or otherwise, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, uninterrupted use, and non-infringement.
Without limiting the foregoing, Qodequay does not warrant that the App will be uninterrupted, error-free, secure, free from viruses or other harmful components, or that any defect will be corrected. Educational outcomes depend on many factors outside our control and are not guaranteed.
11. Limitation of liability
To the maximum extent permitted by applicable law, in no event will Qodequay, its directors, officers, employees, affiliates, agents, contractors, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or cost of substitute services, arising out of or in connection with your use of, or inability to use, the App, even if Qodequay has been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the aggregate liability of Qodequay arising out of or relating to these Terms or the App, whether in contract, tort, statute, or otherwise, shall not exceed (a) for Institutional Users, the fees paid to Qodequay under the applicable institutional agreement during the twelve (12) months immediately preceding the event giving rise to the claim, and (b) for individual users, one hundred Indian rupees (₹100) or the equivalent amount in the user's local currency.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
12. Indemnification
You agree to indemnify, defend, and hold harmless Qodequay and its directors, officers, employees, affiliates, agents, contractors, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) your violation of any applicable law or any right of a third party; or (c) your misuse of the App. Institutional Users additionally agree to indemnify Qodequay against claims arising out of acts or omissions of their students, teachers, administrators, or other personnel in connection with the App.
13. Term and termination
These Terms apply from the time you first install or use the App and continue until terminated.
You may terminate these Terms at any time by uninstalling the App and ceasing all use of it. We may suspend or terminate your access to the App at any time, with or without notice, if we reasonably believe that you have breached these Terms, that your use poses a security or legal risk, or that we are required to do so by law or by the Meta Horizon Store.
The provisions of these Terms that by their nature should survive termination — including those relating to intellectual property, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution — shall survive any termination of these Terms.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date at the top of these Terms and, where appropriate, provide additional notice in the App or to Institutional Users. Continued use of the App after a material update constitutes acceptance of the updated Terms. If you do not agree to an update, you must stop using the App.
15. Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict-of-laws principles. Subject to the arbitration clause below, the courts at Pune, Maharashtra, India, shall have exclusive jurisdiction over any matter arising out of or relating to these Terms.
Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, or validity thereof, shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator appointed by Qodequay, the seat and venue of arbitration shall be Pune, Maharashtra, India, and the language of arbitration shall be English. The award of the arbitrator shall be final and binding on the parties.
Nothing in this clause prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction to protect its intellectual property or confidential information.
16. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any applicable institutional agreement, constitute the entire agreement between you and Qodequay regarding the App and supersede any prior agreements on the same subject matter.
- Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- No waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.
- Assignment. You may not assign or transfer these Terms without our prior written consent. Qodequay may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
- Force majeure. Qodequay shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, pandemic, government action, internet or telecommunications failure, or strikes.
- Notices. Notices to Qodequay should be sent to the contact address below. Notices to you may be sent through the App, by email, or through the institution that deployed the App to you.
- Language. These Terms are executed in the English language, which shall be the controlling language for all purposes.
